STANDARD TERMS AND CONDITIONS NEWSAW (Pty) Ltd) - 2025

Note:

NEWSAW (Pty) Ltd and the Purchaser/Client shall, in all instances, comply with the Terms and Conditions of the Supplier first. Where the Supplier’s Terms and Conditions are silent on any matter, NEWSAW shall set such outstanding Terms and Conditions as it sees fit.

Below is a basic breakdown of the Standard Terms and Conditions of purchase as set out by NEWSAW.

In instances where these Terms and Conditions are different and/or silent and/or insufficient and/or superfluous to that of the Supplier, NEWSAW shall set final terms and conditions in consultation with the Supplier and provide such at the time of order.

Any waiver of any one or more of these Standard Terms and Conditions for any reason or for any specific order or purchase will not set any precedent for the rest of the order or subsequent transactions or work.  Any changes of these terms will be agreed on by both parties.

1. TERMS OF PAYMENT

1.1 Imported Capex Equipment

  • 30% Payment with Order.
  • 70% Payment before Shipment.
  • Or as stipulated by Supplier(s).
  • All payments for imported goods are done by Pro Forma invoices without any VAT. Once the goods arrive at customs and we get the freight and clearing invoices from our forwarder/clearing agents a tax invoice for everything will be issued as well as a statement showing all payments and received and the balance payable.
 

1.2 Imported Spare Parts

  • All spare parts that must be imported shall be paid for in full and in advance at the time of order.
  • All payments for imported goods are done by Pro Forma invoices without any VAT. Once the goods arrive at customs and we get the freight and clearing invoices from our forwarder/clearing agents, a tax invoice for everything will be issued, as well as a statement showing all payments and received and the balance payable.
 

1.3 Local Equipment

  • 40% Payment with order.
  • 60% Against dispatch advice.
  • Or as stipulated by supplier(s) and/or sub-contractors.
 

1.4 Erection

  • 20% against Order.
  • 20% against commencement of erection.
  • 50% against progress claims.
  • 10% after sectional completion.
 

1.5 Please Note:

  • If the commencement of either erection and/or commissioning of equipment is delayed by any reason beyond the control of NEWSAW(Pty) Ltd., payments due against such commencement will become payable no later than 120 days from the date of delivery of the equipment.
  • Machine and parts will remain the property of NEWSAW until paid for in full.
  • All prices are ex Works, unless otherwise specified.

2. VALUE ADDED TAX (VAT)
Prices reflected in this quotation are exclusive of VAT, permits, licenses, custom duties, clearing costs or approvals that may apply in the importing country.

3. FREIGHT
Unless specifically mentioned, freight charges are NOT included in this quotation. Separate quotations and invoices for shipping and clearing will be done.

4. INSURANCE
Unless equipment is specifically quoted on a C.I.F. basis, insurance cover in respect of the items quoted must be arranged by the client and at the client’s expense.

5. VALIDITY
30 days from the date hereof.

6. PRICE ESCALATION

6.1 Imported Equipment:

  • Prices are quoted in the supplier’s currency. We reserve the right to amend prices according to the prevailing rates of exchange at the time of payment.
  • Pricing excludes all bank charges and costs with regard to foreign and local transactions. These costs will be included at the time of payment.

6.2 Local Equipment
       As per SEIFSA Index

7. SHIPMENT

7.1 Imported Equipment:

  • As per the schedule and workload of the supplier.
  • See Clause 3 above.
8. VALUE ADDED TAX (VAT)

8.1 Imported Equipment:

  • As per scheduling and determination by the supplier.

 

8.2 Local Equipment:

  • As per scheduling and determination by supplier and sub-contractors.

9. INSTALLATION
To be determined by and negotiated with the supplier

10. COMMISSIONING
To be determined by and negotiated with the supplier

11. EXCLUSIONS
Unless this scope of work is included in the contract, the following is excluded:

  • Air compressor and main air supply line.
  • Carpentry work and/or fitting of timber.
  • Electrical switchgear, cabling and wiring.
  • Excavation, foundation and/or civil works.
  • Fire-fighting and fire control during erection.
  • Insurance requirements.
  • Lifting gear / mobile crane.
  • Lubricants and hydraulic oils.
  • All buildings and sheds.
  • Maintenance tools.
  • Modification and/or repair to existing equipment.
  • Safety signs, safety fences and gangways and bridges over conveyors.
  • Timber for covering and/or flooring between conveyors.
  • Timber for test runs.
  • Unloading and unpacking of equipment.
  • Unskilled labour.
